1. About these terms

These terms govern the use of Adsoft ("the service"), provided by Jakob Kafton-Krogh / Krogh.app, Aalborg, Denmark ("we", "us", "Adsoft"). By ordering a subscription or using the service, you accept these terms. The service is sold to businesses, typically web agencies and their clients.

2. The service

Adsoft is a hosted solution for fast, static websites. A subscription includes:

• the Adsoft editor at my.adsoft.dk, where you and your clients edit content, and where agencies can connect their own AI tools (MCP)
• a web hosting account with our hosting partner Curanet, where the published website is served
• email hosting for the domain
• backups and version history of the website's content and code

Domain registration is not included, except as described in section 4.

3. Account and users

You create users by invitation in the editor. Each user has their own password and must not share it. You are responsible for the use of your users and of the AI tools you connect to the service. Agencies ordering on behalf of a client are our contracting party and are responsible for payment.

4. Prices and payment

• Adsoft is sold through web agencies. Each website is paid in advance for 12 months at a time.
• When the agency pays (agency price): the price per website per year that the agency is given when signing up, which is shown in the editor before every purchase. The agency's websites share one subscription with one renewal date. A website added during the period is charged pro rata until the renewal date.
• When the client pays directly: DKK 2,340 excluding VAT per website per year (equal to DKK 195 per month).
• Registration of a .dk domain is included for as long as the subscription is paid.
• Other domains are paid once at the time of ordering for the full registration period, which is 1 or 2 years depending on the domain extension. The price is shown when ordering. When the period ends, the domain is renewed for a new period, and the fee is charged on the subscription.
• The subscription renews automatically for 12 months at a time until cancelled. A website the agency removes runs until the end of the period and is not renewed. There is no refund for the remaining part of a period that has started.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Prices may change with 30 days' notice and do not affect a period that has already been paid.

5. Domains and hosting

Domains are registered and hosting accounts are created through Curanet once payment has been completed. The domain owner must provide correct registration details. On cancellation, the domain can be moved to another provider, and we provide the required transfer code.

6. Content, ownership and acceptable use

You own the website's content, images and design. You may not use the service for illegal content, spam or malware, or to infringe the rights of others, and you may not attempt to bypass the service's limits or security. Violations may lead to termination without refund.

7. Personal data

When we store and process the website's content and, for example, bookings from visitors, we act as your data processor. See our privacy policy for the data we process and the sub-processors we use. All data is stored in the EU.

8. Operation and availability

We aim for high availability. Websites are served from web hosting that keeps running even if the editor is unavailable. Planned maintenance is carried out outside normal business hours where possible.

9. Limitation of liability

The service is provided "as is". We are not liable for indirect losses, including lost revenue, lost data or business interruption. Our total liability shall not exceed the amount you have paid for the service in the past 12 months. This limitation does not apply in cases of intent or gross negligence.

10. Cancellation

You can cancel a subscription at any time. It runs until the end of the paid period and is not renewed. After cancellation, you have 30 days to receive the website as a complete project with content and images. After that, data is deleted and the hosting account is closed. See also our refund policy.

11. Governing law

These terms are governed by Danish law. Disputes are settled by the Danish courts.
